Corporate Lawyer
to join our team and play a key role in delivering high-quality consultancy services to our clients. This position offers the opportunity to work in a dynamic, international environment, collaborating with experts across various business lines and industries.

Key Responsibilities

Researches, analyzes, and interprets existing laws and ordinances, court decisions, pending legislation.
Prepares written memoranda for clients and/or courts of justice on a variety of issues and proceedings.
Provides legal research and advice on matters related to various areas of law, including but not limited to legislative changes, practices and procedures and other legal issues.
Handles tasks related to merger and acquisitions projects including but not limited to drafting preliminary Checklists, Due Diligence Reports and Red Flags, drafting, and negotiating Sales and Purchase Agreements, and any other transaction documents, performs all the necessary post-closing actions in the best interest of the Client.
Registers files with the Trade Registry and other relevant authorities and institutions.
Drafts, reviews, and negotiates general business terms, business related agreements and any other legal documents with clients, suppliers, and other business counterparts.
Drafts and keeps corporate legal documents updated / valid.
Manages the relations with third parties on behalf of the client.
Meets and communicates with the clients' representatives to obtain information regarding operational problems.
Constantly reports to the clients the status of the projects and performs relevant follow-ups in case necessary information and / or documents are not yet sent by the client, as the case may be;
Confers with colleagues, clients, court staff and the public administration on procedural matters and legal issues.
Makes decisions and is responsible for corporate legal deliverables.
Is responsible for the oversight of more clients as assigned.
Helps in developing practices and procedures that effectively serve the company.
Contributes to new business initiatives, business models and investment opportunities.
Provides regulatory and legal support internally.
Manages contacts with regulators and law firms.
Keeps abreast of changes in legislation and contributes to monthly articles.
Works based on daily updated timesheets and hourly rates.
Identifies solutions to problems, opportunities or issues raised.
Maintains excellent working relationships with the team.
Permanently improves procedures, working operations, task delivery standards.
Has proactive attitude and is willing to learn more.
Proves involvement and motivation for performance.
Is open to multitasking in different areas of activity.
Has long-lasting vision, initiative, determination, ambition for progress.
Performs other projects as assigned from time to time by the Manager and/or Partners.

What We're Looking For

3-5 years of experience in a similar role.
Being a fully qualified lawyer, member of the Bucharest Bar.
Strong command of the English language, both written and spoken.
Ability to work with deadlines.
Strong analytical skills and attention to detail.
Excellent communication skills across all levels of business.
